11. CONFIDENTIALITY

The Parties shall at all times during the continuance of this Agreement and after its termination keep strictly secret and confidential, and under no circumstances disclose to any person or entity which is not a Party (other than their representatives, agents, employees and directors whose duties will require them to possess any such information on a strictly need-to-know basis and who are subject to these obligations of confidentiality), any Confidential Information arising from or in connection with this Agreement unless disclosure of such information is expressly permitted by the prior written consent in writing of the other Party.


12. WARRANTIES

12.1 The Principal warrants to the Distributor that the Products:

12.1.1 will be merchantable and fit for any purpose held out by the Principal or made known to the Distributor in writing at the time the order for purchase is placed;

12.1.2 will correspond with specification and any relevant specification or sample;

12.1.3 will be free from defects in design, material and workmanship for a period of [●] years from the date of delivery of the Products. The Principal shall determine the details, scope and parameters of such warranty and provide such information to the Distributor; and

12.1.4 will comply with all statutory requirements and regulations relating to the sale of the Products.

12.2 Without limiting any other remedy, if any Products are not supplied in accordance with the Agreement, then the Distributor shall be entitled:

12.2.1 to require the Principal to repair the Products or to supply replacement Products within thirty (30) calendar days; or

12.2.2 at the Distributor’s sole option, and whether or not the Distributor has previously required the Principal to repair the Products or to supply any replacement Products, to treat the Agreement as discharged by the Principal’s breach and require the repayment of any part of the price of the Products (where this has been paid).
