10. CONSEQUENCES OF TERMINATION

10.1 Upon expiration or termination of this Agreement:

10.1.1 The Principal shall be entitled to repurchase from the Distributor all or part of any stocks of the Products then held by the Distributor at their invoice value or the value at which they stand in the books of the Distributor, whichever is lower; PROVIDED THAT:

(a) the Principal notifies in writing to the Distributor within seven (7) calendar days after the date of termination its intention to exercise the right of repurchase; and

(b) the Principal shall be responsible for arranging and for the cost of, transport and insurance.

10.1.2 The Distributor may sell stocks of Products for which it has accepted orders from customers prior to the date of termination, or stocks of Products over which the Principal does not exercise its right of repurchase pursuant to Clause 10.1.1 above.

For the purposes of Clauses 10.1.1 and 10.1.2 and to that extent the provisions of this Agreement shall continue in full force and effect.

10.1.3 The Distributor shall at the Principal’s expense within thirty (30) calendar days send to the Principal or otherwise dispose of in accordance with the Principal’s directions all samples of the Products and any advertising, promotional or sales material (including Sales Aids) relating to the Products then in the possession of the Distributor.

10.1.4 The Distributor shall cease to promote, market, sell and a/or distribute the Products or to make use of the Intellectual Property other than for the purpose of selling stock in respect of which the Principal does not exercise its right of repurchase under Clause 10.1.1.

10.1.5 The provisions of Clauses 11,12 and 13 shall continue in force in accordance with their respective terms.

10.1.6 Subject as otherwise provided in this Agreement and to any rights or obligations which have accrued prior to termination, neither Party shall have any further obligation to the other under this Agreement.

10.1.5的规定和第13条第11,12须继续有效，按照各自的职权。



10.1.6除另有规定外，本协定和任何权利或义务已经终止以前产生的，任何一方都不得有任何进一步的义务的其他根据本协定。
