9. TERMINATION

9.1 Notwithstanding any other provisions hereof, either Party may terminate this Agreement by written notice to the other Party (the "Defaulting Party") effective immediately upon such notice, on the happening of any one or more of the following events:

9.1.1 The Defaulting Party commits any material breach of any of the provisions of this Agreement and, in the case of a breach capable of remedy, fails to remedy the same within thirty (30) calendar days after receipt of a written notice giving full particulars of the breach and requiring it to be remedied.

9.1.2 The commencement of voluntary or involuntary proceedings under any bankruptcy, reorganization, or similar laws of any jurisdiction by or against the Defaulting Party; or if any order shall be made or any resolution passed for the winding up, liquidation, or dissolution of the Defaulting Party, or if a receiver be appointed for it or its property, or if it makes a general assignment for the benefit of its creditors.

9.2 Any waiver by either Party of a breach of any provision of this Agreement shall not be considered as a waiver of any subsequent breach of the same or any other provision of this Agreement.

9.3 The exercise by either Party of any rights under this Clause 9 shall be without prejudice to any other rights that party may have under this Agreement or otherwise, and shall not give rise to any rights or claims for compensation or damages, whether direct, indirect, consequential, or incidental (including, but not limited to, loss of profits, goodwill or otherwise) by the Defaulting Party.

9 。终止

9.1尽管有任何其他规定外，任何一方均可终止本协定以书面形式通知另一方（ “违约方” ）后立即生效此类通知，对发生的任何一种或一种以上的下列活动：

9.1.1的违约方的任何材料的任何违反本协议的规定，如属违反能够纠正，不能纠正同在三十（ 30 ）日历天内收到书面通知，充分详情违约，并要求其予以纠正。

9.1.2已开始自愿或非自愿的法律程序在任何破产，重组，或类似法律的任何司法管辖区或对违约方;或如果任何命令或应通过的任何决议的清盘，清算，或解散在违约方，或者，如果一个接收被任命为它或它的财产，或如果它使一般转让有利于它的债权人。

9.2任何放弃一方违反本协议的任何规定不得被视为自动放弃以后的任何违反相同或任何其他规定本协议。

9.3任何一方行使权利的任何根据本条第9条规定，应在不损害任何其他权利，当事人可根据本协议或其他方式，并不得产生任何权利或要求补偿或损害赔偿，不论是直接的，间接的，必然，或偶然（包括但不限于，利润损失，商誉或其他方式）由违约方。
